Stacq Team Member Agreement

This Team Member Agreement ("Agreement") is entered into between Stacq LLC ("Company," "we," "us") and the
individual accepting these terms ("Team Member," "you"). By creating a Team Member account, you agree to be
bound by the following terms.
1. Relationship
You are an independent contractor, not an employee. Nothing in this Agreement creates an employer-employee
relationship, partnership, or joint venture. You are responsible for your own taxes, insurance, and
compliance with applicable laws.
2. Scope of Work
You will perform website development, quality assurance, and website editing services for Stacq clients as
assigned or claimed through the Stacq portal.
3. Job Claiming and Assignment
- You may claim up to two (2) open jobs at a time through the portal
- Admin may also directly assign jobs to you
- Once claimed, you are responsible for completing that job to our quality standards
4. Turnaround Requirements
- Basic Sites: Draft delivery within two (2) business days of claiming
- Advanced Sites: Draft delivery within four (4) business days of claiming
- Turnaround requirements do not apply to paid edit requests
- Exceeding turnaround deadlines may count toward quality violations
5. Quality Standards
- All work must meet Stacq's quality standards as outlined in this Agreement
- Critical errors on delivered sites will be documented
- Three (3) or more critical errors in a calendar month, or three (3) or more turnaround violations in a
calendar month, may result in a suspension review
- Quality determinations are at Stacq's sole discretion
6. Compensation
- Basic Site Build: $150 per completed site
- Advanced Site Build: $300 per completed site
- Payout becomes eligible once the client enters the "Awaiting Domain" stage or later, meaning the review
and revision process is complete
- You are responsible for handling review and revision requests for your assigned sites
- Faster completion of the review/revision cycle or the lack of need for revisions means faster payout

7. Payment Terms
- Payouts are processed monthly between the 1st and 5th of each month
- Payment is made via PayPal or Wise to the email address you provide
- You must have a valid tax form on file to receive payouts: a W-9 if you are a US person, or a
W-8BEN if you are not
- Minimum payout threshold: $0 (all eligible earnings are paid)
8. Suspensions and Termination
- Suspension reviews are triggered automatically based on quality and turnaround metrics
- All suspensions require admin approval before taking effect
- Suspension duration: 30 calendar days per occurrence
- During suspension, you may complete existing claimed jobs, but cannot claim new work
- Three (3) total suspensions result in permanent removal from the platform, requiring admin approval
before taking effect
- Company reserves the right to terminate this Agreement at any time for any reason
9. Confidentiality and Data Protection
- You will not share, disclose, or misuse any client data, credentials, or proprietary information
accessed through the Stacq portal
- Client DNS and CMS credentials are not visible to team members
- You will access and use client data only as needed to perform a job assigned or claimed through the
portal, and for no other purpose
- You will not copy, export, or retain client data outside the Stacq portal and the systems we direct you
to use, and you will not store client credentials anywhere else or share them with anyone
- You will report any suspected loss, exposure, or unauthorized access involving client data to
info@stacq.io within 24 hours of
discovering it
- These obligations continue after your account is closed or removed
- Violation of confidentiality obligations is grounds for immediate removal
10. Tax Obligations
- As an independent contractor, you are solely responsible for all applicable taxes
- You agree to provide accurate tax information on whichever form applies to you
- Company will issue 1099-NEC forms as required by law. A contractor outside the United States who
files a W-8BEN is not issued a 1099
11. Intellectual Property
- All work product created in the course of performing services is the exclusive property of the Company
and/or its clients
- You retain no rights to any work product
12. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, special, or
consequential damages arising out of or relating to this Agreement or your use of the Stacq portal,
including lost profits or lost opportunities, whether or not the Company was advised such damages were
possible.
The Company's total aggregate liability to you for any claim arising out of or relating to this Agreement is
limited to the total amount actually paid to you for completed work in the twelve (12) months immediately
before the event giving rise to the claim.
13. Indemnification
13.1 You agree to defend, indemnify, and hold harmless the Company, its officers, members,
and employees from and against any third-party claim, demand, loss, liability, or expense, including
reasonable legal fees, arising out of or relating to: your work product; your violation of any applicable
law; your breach of this Agreement; your negligence or willful misconduct; or your mishandling of client
data, credentials, or client systems.
13.2 The Company will give you written notice of any claim for which it seeks
indemnification. You may control the defense of that claim using counsel acceptable to the Company, and the
Company may participate in its own defense at its own expense. You may not settle any claim in a way that
imposes an obligation or admission on the Company without the Company's prior written approval.
13.3 The Company may withhold payouts otherwise due to you while an indemnification claim
is unresolved, and may offset amounts you owe under this section against future payments.
14. Modifications
- Company may update this Agreement from time to time
- Where a change is material, you will be shown a summary of what changed and asked to accept the updated
Agreement before you continue using the portal
- Your acceptance, and the version you accepted, are recorded against your account
15. Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of Washington, without
regard to conflict of law principles.
By checking "I accept the Team Member Agreement" during registration, or by
accepting an updated version through the portal, you acknowledge that you have read, understood, and agree
to be bound by all terms of this Agreement.
